AVST and NEC Corporation of America (NEC) have announced a long-term strategic technology relationship including the integration of Active Voice, a division of NEC, into AVST. In addition to seamlessly integrating AVST's CallXpress® Unified Communications (UC) platform with NEC's world class IP telephony and UC solutions, AVST will continue to manufacture, support and enhance specific Active Voice product offerings for NEC, its channel partners and the independent Active Voice channel.

Applied Voice & Speech Technologies, Inc. (AVST or the Company) has announced a long term technology partnership agreement with NEC Corporation of America (NEC). As part of this partnership agreement, AVST acquired all of the assets of the Active Voice Division (Active Voice) of NEC.

1. Why did AVST acquire Active Voice?
AVST's strength and core competency for nearly three decades has been designing and delivering best in class Unified Communications (UC) solutions with the most extensive telecom and IT interoperability on the market. The acquisition of Active Voice is expected to deliver the following benefits:
- Expands AVST's addressable customer base to more than 140,000 systems sold worldwide
- Expands AVST's R&D staff to accelerate UC innovation
- Increases AVST's customer reach through expanded channel and geographic presence
- Expands AVST's product portfolio by adding a Linux-based product targeting small and medium-sized organizations as well as supporting the hospitality market
2. What is the name of the combined company?
Applied Voice & Speech Technologies, Inc. (D/B/A - AVST) will remain the combined company name. Product names will remain the same in the short term but will most likely change as we continue to integrate the combined product lines.
3. How is the combined company structured?
AVST's headquarters will remain in Orange County, CA with the Company's primary engineering and support remaining in Seattle, WA. All EMEA business will continue to be managed out of the United Kingdom. All office contact information can be found at www.avst.com.

To provide the most consistency and clarity in AVST's communications with customers, the Active Voice corporate brand will immediately be retired, and the Company will fully align behind the AVST corporate brand. Product branding discussions will continue over the next few months as we integrate the product lines.

9. I noticed Kinesis is not being sold by AVST; what is the replacement solution?
CallXpress 8 is the replacement product for Kinesis in AVST's independent channel. CallXpress offers advanced call processing, voicemail, unified messaging, personal assistant, fax, speech, and notification capabilities, with integration into over 250 TDM, IP-PBX, and Centrex Integrations. This Unified Communications platform offers the economics, infrastructure interoperability, features, platform reliability, and administrative capabilities that organization are demanding. As a result, CallXpress was recently ranked as the most widely deployed voicemail solution according to the 2009 Voice Report survey of enterprise telecom managers. 10. What Active Voice products does AVST support?
AVST will continue to support Active Voice products with an active service agreement. AVST will provide technical support for Kinesis, Repartee for Windows, Repartee LX, Repartini, and VideoMail products. AVST will announce new support offerings to Active Voice customers to insure all customers have access to new software versions, an upgrade path and all available support services.
