Active Voice, Inc. to be Acquired by NEC America

Seattle, Washington, USA - September 20, 2001 – Active Voice, Inc., a world leader in providing unified messaging and computer telephony software solutions, today announced that it has entered into a definitive agreement to sell its messaging business to NEC America, Inc. The acquisition supports NEC's vision to deliver next generation computer telephony integration (CTI) and unified communications solutions to enterprises worldwide.

As part of the agreement, NEC America will acquire Active Voice's business operations in Seattle, as well as its subsidiaries in Australia and The Netherlands. The new company will operate as an independent subsidiary of NEC America, Inc. to sell and support Active Voice's Repartee®, PhoneSoft™, Replay®, Lingo™, and embedded solutions that are distributed globally by strategic partners. Victor Foia, a 17-year veteran who is currently the vice president and general manager of NEC America's Corporate Networks Group, will serve as the new company's president and chief executive officer. The new company will retain its headquarters in Seattle, Washington.
